These terms and conditions apply to any use of Tarifi, the quoting and sales software provided by [COMPANY NAME], registered at [BUSINESS ADDRESS] (company registration number [REGISTRATION NUMBER], VAT number [VAT NUMBER]), referred to as "Tarifi" or "we". By creating an account or using Tarifi, you agree to these terms.
1. Definitions
- Customer: the organisation that creates and uses a Tarifi account.
- User: an individual who has access to Tarifi on behalf of the Customer.
- Plan: the selected subscription (Start, Professional or Business) as described on tarifi.nl/en/pricing.
- Module: an optional extension (such as an industry module or integration) purchased separately from the Plan.
- Agreement: the agreement between Tarifi and the Customer for use of the Service, of which these terms form part.
2. Applicability
These terms apply to every sign-up, quote and agreement between Tarifi and the Customer. Deviations are only valid if agreed in writing. Any purchasing or other terms of the Customer are expressly rejected.
3. Account and sign-up
An account is created via the sign-up form. After entering company and account details, the account is verified and activated before becoming fully accessible. Tarifi may refuse a sign-up, for example in case of doubt about the accuracy of the provided information or suspected misuse.
The Customer is responsible for the accuracy of account details and for the careful handling of User login credentials.
4. Trial period
New accounts start with a free 30-day trial, without requiring a payment method. After the trial ends, continued use depends on subscribing to a paid Plan; access to Tarifi may be restricted without an active Plan.
5. Plans, modules and pricing
Tarifi offers the Start, Professional and Business Plans, each with a fixed number of included Users. Current prices, included quantities and conditions are shown on tarifi.nl/en/pricing and form part of the Agreement. All prices are excluding VAT and per month; Tarifi currently works exclusively with monthly billing, there are no annual plans or annual discounts.
Modules (such as industry modules and integrations) are optional and can be added on top of any Plan, at the price shown on the pricing page. A Module is never reserved for a specific Plan.
Tarifi may change the prices of Plans and Modules. Price changes affecting an active Plan will be announced in advance, with a reasonable period during which the Customer may cancel if they do not agree with the change.
6. User limits
Each Plan includes a fixed number of Users. If the Customer needs more Users than the Plan allows, the Customer should contact Tarifi to discuss a suitable Plan or additional arrangement.
7. Payment and billing
Invoices are sent monthly and must be paid within the payment term stated on the invoice. In case of late payment, Tarifi may suspend access to the Service, without prejudice to the right to payment of outstanding amounts.
8. Term and cancellation
Plans can be cancelled monthly, with no notice period beyond the current month. Cancellation can be done via the account or by contacting Tarifi. No refunds are given for already-paid, not-yet-elapsed subscription periods, unless Tarifi decides otherwise in writing.
Tarifi may suspend or terminate the Agreement in case of serious or repeated breach of these terms, including misuse of the Service or failure to pay.
9. Use of the Service
The Customer will not use Tarifi for unlawful purposes and will ensure that Users comply with these terms. The Customer is responsible for the content entered, processed and sent via Tarifi, including quotes, customer data and documents.
10. Availability and maintenance
Tarifi makes reasonable efforts to keep the Service available and functioning well, but does not guarantee uninterrupted availability. Planned maintenance will be announced in advance where reasonably possible.
11. Intellectual property
All intellectual property rights in Tarifi (the software, the brand, the documentation) belong to Tarifi or its licensors. The Customer retains all rights to its own data and content entered via Tarifi.
12. Personal data
To the extent Tarifi processes personal data on behalf of the Customer when performing the Agreement (for example, data of the Customer's own customers included in quotes), the Data Processing Agreement applies. 13. Liability
Tarifi's liability for damages arising from the Agreement is limited to the amount the Customer paid to Tarifi in the twelve months preceding the event causing the damage, unless there is intent or deliberate recklessness on Tarifi's part. Tarifi is not liable for indirect damages, including consequential damages, lost profits and missed savings.
14. Force majeure
Tarifi is not obliged to fulfil any obligation if prevented by force majeure, including outages at hosting providers or other third parties Tarifi depends on.
15. Changes to these terms
Tarifi may change these terms. The most current version is always available on this page. For significant changes, we will inform active Customers in advance.
16. Governing law and disputes
These terms are governed by Dutch law. Disputes will be submitted to the competent court in [CITY], unless mandatory law provides otherwise.
